END-USER LICENSE AGREEMENT This AhnLab End-User License Agreement (the "License Agreement") is a legal agreement between you and AhnLab, Inc. ("AhnLab") for the AhnLab software product identified on the software license certificate (¡°Software Certificate¡±) attached to this License Agreement, which includes computer software and may include any media, printed materials and on-line or electronic documents, including, but not limited to, any and all execution files, additional functions, user manual, help files and other files accompanying the computer software (the "Software Product"). If you disagree with any of the terms or conditions of this License Agreement, do not install or use the Software Product. As long as you have not opened the sealed package for the CD-Rom containing the computer software of the Software Product, you will receive a refund by returning all items of the Software Product together with a copy of your receipt. The term "use" when used herein shall mean any act of installing, using, accessing, copying, or displaying the Software Product, and the term "computer" when used herein shall mean a computer, server computer and/or client computer depending on the context in which is used. 1. License The Software Product is protected by copyrights, trademarks and/or other intellectual property rights and the laws of Korea and other countries and, international treaties. Any duplication or re-distribution of the Software Product not in accordance with this License Agreement is prohibited by law. The license granted to you under this License Agreement is effective only during the limited license period specified in the software license certificate accompanying this License Agreement. At the end of the license period, you must immediately discontinue all further use of the Software Product and destroy the Software Product in your possession in whatever form or medium and all copies thereof. Grant of License Corporate Users. You may use the Software Product on only as many of your computers as the number of licenses for the Software Product specified on the Software Certificate. You must acquire a license for each separate computer on which the Software Product will be used. A license for the Software Product may not be shared or used on different computers. Individual Users. You may use the Software Product on only as many of your computers as the number of licenses for the Software Product specified on the Software Certificate. A license for the Software Product may not be shared or used on different computers. License Pack. If you have acquired this license to use the Software Product under an AhnLab License Pack, you may make as many copies of the Software Product as the number copies specified on the reverse side of the License Certificate and may use each copy in accordance with the terms and conditions set forth therein. If the AhnLab License Pack has been purchased for business use, it may not be copied for personal use, and if the AhnLab License Pack has been purchased for personal use, it may not be copied for business use. 2. License for Upgrades If you have received a free upgrade of the Software Product or have purchased a New Product Version, you shall continue to have a license to use any and all programs and files excluded from such upgrade or New Product Version (each free upgrade and New Product Version referred to hereinafter as an ¡°Upgraded Version¡±) which were part of the prior version of the Software Product. You may not transfer, rent or sell the prior version of the Software Product. 3. Ownership and Backup Copy Ownership. AhnLab and its suppliers own all rights, title, interest in and to the Software Product (¡°Rights¡±), including without limitation, all patents, copyrights, trademarks and other intellectual property rights related to the Software Product. No Right in the Software Product is sold to you other than the non-exclusive license to use the Software Product during the license period under the terms and conditions of this License Agreement. All rights not expressly granted to you under this License Agreement are reserved by AhnLab or its suppliers. Backup Copy. After you have installed the Software Product, you may keep the original media containing the Software Product only for backup or archival purposes. In addition, you may make one copy of the Software Product solely for backup or archival purpose. Unless expressly permitted under this License Agreement, you may not make copies of the Software Product or the printed materials accompanying the Software Product. 4. Other Rights and Restrictions Restrictions. You may not reverse engineer, de-compile or disassemble the Software Product. Except as expressly authorized under this Agreement, you may not use, copy, translate, re-distribute, re-transmit, publish, sell, rent, lease, re-sell, pledge, transfer, revise or expand all or any part of the Software Product. In addition, you may not modify the Software Product, nor may you modify any accompanying printed material without the prior written consent of AhnLab. Also you may not create derivative works from the Software Product or any portion thereof. You are prohibited from removing any proprietary notices, marks or Labels from the Software Product. Software Transfer. You may make a one-time permanent transfer of the Software Product and all of your rights under this License Agreement, provided that you do not keep in your possession any copies of the Software Product after such transfer. The transfer must include all of the Software Product (including, but not limited to, the product software, archival media, printed materials and any upgrades, the product number and this License Agreement). The one-time transferee must agree to be bound by the terms of this License Agreement, and may not further transfer the Software Product. In case the Software Product is an Upgraded Version, you must include all of the prior versions of the Software Product in your one-time transfer. Termination. You may terminate this License Agreement at any time by destroying the Software Product and all of the copies that you have made. This License Agreement shall be automatically terminated if you make any copies of the Software Product not authorized under this License Agreement. Without prejudice to any other rights, AhnLab may terminate this License Agreement if you fail to comply with any of its terms. In such event, you will be required to destroy all copies of the Software Product. Subject to the provisions of Section 5 below, no part of any amount paid by you for the Software Product or Support Services shall be refunded unless this License Agreement is terminated due to causes attributable by AhnLab. Termination of Support Services. If AhnLab releases an Upgraded Version, AhnLab may, by giving notice to you, discontinue the Support Services, such as providing patch files and engine updates, for the prior version of the Software Product after 13 months have elapsed since such market introduction of the Upgraded Version. AhnLab may satisfy such notice requirement by having such notice posted on AhnLab¡¯s Internet website or by providing such notice by email. 5. Warranty Limited Warranty. AhnLab warrants that there are no physical defects in the CD-Rom and all supplemental materials provided to you for a period of ninety (90) days from the purchase date of the Software Product. During this warranty period (¡°Warranty Period¡±), any Software Product having physical defects caused during its manufacturing process may be exchanged for a new one. When requesting an exchange, you will be required to submit proof that the Software Product was purchased within ninety (90) days from the date of such request. You will not be entitled to an exchange if the Software Product has been damaged due to your improper handling or use. NO OTHER WARRANTIES. AHNLAB AND THE DISTRIBUTORS OF THE SOFTWARE PRODUCT (AND THEIR AGENTS, DIRECTORS, OFFICERS, EMPLOYEES OR REPRESENTATIVES) WILL NOT BE LIABLE TO YOU FOR ANY CLAIMS OR LIABILITIES OF ANY KIND ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OF THE SOFTWARE PRODUCT OR THE SUPPORT SERVICES. AHNLAB AND THE DISTRIBUTORS OF THE SOFTWARE PRODUCT HEREBY DISCLAIM ANY WARRANTIES (INCLUDING, BUT NOT LIMITED TO, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT), WHETHER EXPRESS OR IMPLIED, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WITH RESPECT TO THE SOFTWARE PRODUCT AND ANY UPGRADED VERSIONS, AND THE PROVISION OR FAILURE TO PROVIDE THE SUPPORT SERVICES. AHNLAB DOES NOT WARRANT THAT DURING YOUR USE OF THE SOFTWARE PRODUCT THERE WILL BE NO TEMPORARY INTERRUPTIONS OR ERRORS. AHNLAB SHALL NOT BE RESPONSIBLE FOR ANY PROBLEMS ARISING FROM ANY CHANGE IN THE HARDWARE OR OPERATING CHARACTERISTICS OF THE OPERATING SYSTEM OF COMPUTERS WHICH HAVE BEEN MANUFACTURED AFTER THE DATE OF PRODUCTION OF THE SOFTWARE PRODUCT, NOR FOR ANY LOSS OR DAMAGE DUE TO A NEW PROGRAM, PIECE OF CODE, ALGORITHM OR SOFTWARE WHICH MAY BE HARMFUL TO THE COMPUTER SYSTEM, OR POSE AS A GENERAL SECURITY THREAT TO YOU, INCLUDING, WITHOUT LIMITATION, COMPUTER VIRUS, WORM, SPYWARE, TROJAN HORSE, ADWARE AND SCUM DISCOVERED AFTER THE DATE OF PRODUCTION OF THE SOFTWARE PRODUCT OR AFTER THE SUPPORT SERVICE FOR THE PRIOR VERSION OF THE SOFTWARE PRODUCT HAS BEEN DISCONTINUED DUE TO THE INTRODUCTION OF THE UPGRADED VERSION OF THE SOFTWARE PRODUCT. AHNLAB WILL NOT BE LIABLE TO YOU FOR ANY CLAIMS OR LIABILITIES OF ANY KIND ARISING OUT OF OR IN ANY WAY RELATED TO ITS ERROR IN JUDGEMENT AS TO THE FEATURES, PROGRAMS, FILES AND OTHER COMPONENTS OF THE SOFTWARE PRODUCT THAT ADVERSELY AFFECT THE COMPUTER SYSTEM. AHNLAB SHALL NOT BE RESPONSIBLE FOR ANY STATEMENTS, REPRESENTATIONS, WARRANTIES OR PROMISES, WHETHER COMMUNICATED TO YOU ORALLY, IN WRITING OR BY ANY OTHER MEANS, BY A DISTRIBUTOR, DEALER OR ANY THIRD PARTY, WHICH ARE INCONSISTENT WITH THE TERMS OF THIS LICENSE AGREEMENT. Exclusive Remedies. The entire responsibility of AhnLab and your exclusive remedy shall be limited to, at AhnLab's sole discretion, (1) replacement of defective media, (2) repair or replacement of the Software Product that does not meet the limited warranty of AhnLab, or (3) termination of this License Agreement and refund of the amount you paid for the Software Product (if the purchase was made by you) provided that the Software Product is returned to AhnLab or an authorized dealer within the Warranty Period together with a copy of your receipt. If you have purchased the Software Product electronically through an online method, the above remedy will be available to you by returning by mail a copy of your purchase receipt. LIMITATION OF LIABILITY. WHETHER OR NOT THE REMEDIES SET FORTH IN THIS SECTION HAVE ACHIEVED THEIR PURPOSE, AHNLAB AND ITS DISTRIBUTORS (OR THEIR AGENTS, DIRECTORS, OFFICERS, EMPLOYEES OR REPRESENTATIVES), TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, ECONOMIC, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES OR COSTS RELATING TO THE LOSS OF PROFITS, BUSINESS INTERRUPTION, DAMAGE TO GOODWILL, SHUTDOWN OR MALFUNCTION OF COMPUTERS, LOSS OF BUSINESS INFORMATION OR OTHER COMMERCIAL OR PECUNIARY LOSS, RESULTING FROM USE OF OR INABILITY TO USE THE SOFTWARE PRODUCT, PROVISION OF SUPPORT SERVICES OR FAILURE THEREOF, EVEN IF ADVISED OF OR WAS AWARE OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION SHALL APPLY REGARDLESS OF WHETHER CLAIMS TO SUCH DAMAGES ARE BASED ON TORT, CONTRACT OR ANY OTHER LEGAL THEORIES. IN NO EVENT SHALL AHNLAB¡¯S AND ITS DISTRIBUTOR'S ENTIRE LIABILITY UNDER ANY PROVISION OF THIS LICENSE AGREEMENT EXCEED THE AMOUNT ACTUALLY PAID BY YOU FOR THE SOFTWARE PRODUCT. YOU ACKNOWLEDGE THAT THE PURCHASE PRICE FOR THE SOFTWARE PRODUCT HAS BEEN DETERMINED TAKING INTO ACCOUNT THE ABOVE RISK; PROVIDED, HOWEVER, THAT IN THE CASE OF SUPPORT SERVICES, AHNLAB¡¯S ENTIRE LIABILITY SHALL BE LIMITED TO THE ACTUAL SERVICE FEE, IF ANY, YOU HAVE PAID. 6. Entire Agreement This License Agreement constitutes the entire agreement between you and AhnLab with respect to the subject matters of this License Agreement, and replaces all prior oral or written agreements, understandings, representations, advertisements and notices concerning the subject matters of this License Agreement.
